AI Override Governance in Banking: When Humans Can Overrule AI and How to Document It

Override governance defines who can override an AI decision, under what conditions, how the override must be documented, and when aggregate override patterns require a model review — the human-in-the-loop framework regulators expect to see evidenced.

The Question Every Override Policy Has to Answer in Writing

When can a human officer overrule what the AI recommended, and what are they required to record when they do? Banks without a written answer get inconsistent behavior by default — some officers override freely, others rubber-stamp the model's output without scrutiny — and the bank ends up with no data on either pattern. Override governance isn't about restricting human judgment; it's about making that judgment visible enough to detect model deterioration, demonstrate real human accountability, and check whether overrides are being applied consistently across customer segments.

The absence of an override framework is one of the most common AI-related findings examiners raise. The finding is rarely that overrides happened — it's that nobody was tracking why, at what rate, or at what threshold a pattern should trigger a model review.

The Framework, Dimension by Dimension

Authorization has to be role-based, not personal. A credit officer overrides within their sanctioned limit; a compliance officer overrides an AML alert disposition; high-risk or large-exposure overrides get dual authorization. "Any manager can override" is not a policy — it's the absence of one.

Permissible grounds need an actual taxonomy. Information the model didn't have at inference time, a documented system anomaly, an exceptional regulatory circumstance, a documented vulnerability assessment — these are valid. "I disagree with the model" is not, and an override citing an invalid ground should route to escalation rather than close quietly.

Documentation means a dated, named record every time: the AI's actual recommendation (not just that an override happened), the officer's role and identifier, the permissible ground cited, a real justification, the final decision, and — for credit and AML — the eventual outcome tracked against what the model predicted. This record has to survive as long as the underlying transaction record, not just for the model's monitoring cycle.

Monitoring needs three pre-set thresholds per model: a watch level that triggers increased attention, a review level that forces a formal performance review within a set window, and an escalation level that notifies deployment authority and forces a business-owner attestation to continue use. Set these at deployment, not reactively once someone notices a pattern.

Fairness monitoring asks the harder question directly: if credit AI gets overridden twice as often for one demographic as another, is that a model producing worse recommendations for that segment, or officers applying inconsistent judgment across segments? Both answers point to a real problem, and a periodic disparity analysis is the only way to tell which one you're looking at.

Retrospective outcome tracking closes the loop: did overridden decisions actually perform better or worse than the AI's recommendation would have? Comparing default rates on overridden versus AI-followed credit decisions, or fraud rates on overridden AML dispositions, is what turns override records from a compliance artifact into actual governance intelligence.

Starting-Point Thresholds by Domain

AI Domain Watch Review Escalation Fairness Review Cadence
Credit scoring >10% / 30 days >15% / 30 days >25% or 2x baseline Quarterly; at launch
AML alert disposition >8% alert-level >12% / 30 days >20% or 2x spike in 7 days Monthly; at typology change
Customer service AI >20% escalated >30% / 7 days >40% or complaint spike Monthly; at chatbot update
Fraud detection >5% block override >8% / 7 days >15% or 2x in 7 days Weekly for high volume
Document extraction >15% correction >20% / 30 days >30% or accuracy drop Quarterly; at doc-type expansion
LLM-assisted underwriting >25% modification >35% / 14 days >50% or compliance flag spike Monthly; at version update

These are starting bands for domains without an existing baseline — set your own from historical override data where you have it, and treat a persistently low override rate as its own signal: it can mean officers aren't overriding when they should, not that the model is flawless. A periodic "challenge exercise," where officers are handed case studies and asked to exercise independent judgment against the model's recommendation, is a reasonable check against override complacency.

India BFSI Context: What's Actually Mandated vs. What Should Be Best Practice

**** Where it does apply, "the AI recommended it" is never an adequate answer to a customer asking why a decision was made — the override record and the officer's documented reason are what the bank actually has to produce.

RBI's FREE-AI Committee report's accountability pillar (constituted December 2023, published August 2025) is the clearest current signal that override records function as evidence of real human accountability — banks should expect examiners to ask for them under that framing even ahead of any binding circular. India's proxy-variable risk extends into override disparity too: pincode-linked socioeconomic patterns, surname-linked community inference, language of interaction, and UPI transaction pattern should all be checked in disparity analysis, independent of whether those variables are used in the model itself — a disparity along any of these lines is a fairness signal regardless of cause. Priority-sector lending overrides need their own reason-code category specifically for sector-eligibility-related overrides, distinct from standard credit override reasons.

Override Governance Has to Feed Back Into Model Risk Management

A model consistently overridden on one customer segment, or in one economic environment, is telling the model risk function exactly where its predictions are weak — more directly than aggregate performance metrics will. Revalidation that doesn't incorporate override pattern analysis is missing a material input. For agentic AI specifically, override governance has to extend to step-level checkpoints inside a multi-step workflow — defining which steps need human authorization, what information the human sees at that checkpoint, and what the agent does if the checkpoint times out unanswered — which is a meaningfully different design problem than override governance for a single-shot recommendation.

Action Checklist for Your Override Policy

  1. Define role-based override authority and a documented permissible-grounds taxonomy — eliminate "any manager, any reason" overrides entirely.
  2. Set watch/review/escalation thresholds per model at deployment time, not after a pattern is already visible.
  3. Run override disparity analysis across customer segment, pincode-linked socioeconomic proxy, and language of interaction at least quarterly for high-risk credit and AML AI.
  4. Track retrospective outcomes on overridden decisions and feed that data back into model revalidation.
  5. Build step-level override checkpoints for every agentic AI workflow, not just a pre-deployment approval gate.
