SEBI AMC Institutional Mechanism for Market Abuse Prevention 2024 AI Governance: Mandatory AI Surveillance, Real-Time Front-Running Detection, Board-Approved AI Alert SOPs and CEO Accountability for 45 Mutual Fund Houses India

SEBI Circular SEBI/HO/IMD/IMD-PoD-1/P/CIR/2024/107 (August 5, 2024) mandates an institutional mechanism for all 45 SEBI-registered Asset Management Companies to prevent and detect front-running, insider trading, and market abuse. The mechanism requires AI-powered enhanced surveillance systems for real-time monitoring of cross-portfolio trade patterns — correlating fund manager personal trades against fund portfolio transactions to detect front-running signals across ₹67 lakh crore in AUM. Board-approved SOPs for AI alert processing. CEO/MD and CCO carry non-delegable personal accountability for AI surveillance effectiveness. AMFI prescribes uniform AI implementation standards across all 45 AMCs. Companion piece to the SEBI Stockbrokers Institutional Mechanism (already covered), applying distinct obligations to a different regulated population. Zero global competitor coverage.

Front-running by fund managers is among the most difficult market abuses to detect — and the hardest to defend against without AI. A fund manager who plans a Rs 500 crore portfolio purchase has advance knowledge that will move a stock's price. The time window between internal trade approval and market execution is brief. Manual surveillance cannot compare thousands of cross-system trade records fast enough. AI is not optional here: it is the only mechanism that scales to the detection problem.

SEBI's August 2024 AMC circular doesn't name AI explicitly — it mandates "enhanced surveillance systems" and prescribes AMFI as the body to set implementation standards. In practice, enhanced cross-portfolio surveillance at mutual fund scale is AI. The circular creates board-level accountability for that AI through the board-approved SOP requirement, and personal accountability through CEO/MD and CCO designation.

The AMFI Standards Layer

AMFI's role in prescribing implementation standards creates a governance dimension absent from other SEBI market abuse circulars. When AMFI sets common AI surveillance standards for all 45 AMCs, it effectively becomes India's first sectoral AI standard-setter for mutual funds — a role with significant AI governance implications. AMCs must track AMFI's evolving standards and update their AI surveillance systems accordingly, not merely implement at the time of initial deployment.
