Investment advice is a relationship of trust. A client who engages a SEBI-registered Investment Adviser believes that the advice they receive reflects human professional judgment applied to their specific financial situation. When the IA uses AI to profile the client's risk, select securities, construct the portfolio, or generate the advisory report, the client has a right to know — and SEBI's December 2024 amendment makes that right a regulatory obligation.
The insertion into Regulation 18 is deliberate. Regulation 18 is the IA Regulations' disclosure-to-clients provision — the legal anchor of the client protection framework. Putting AI disclosure there, rather than in a circular, gives it the same enforceability as any other Regulation 18 breach. An IA found not to have disclosed AI tool usage faces the full enforcement consequence of a Regulation 18 violation.
The Retroactive Deadline Problem
April 30, 2025 has passed. Any SEBI-registered IA that had existing advisory agreements as of January 8, 2025 and did not send documented AI disclosure to those clients is in ongoing non-compliance. SEBI inspections of IA practices routinely include review of client agreement compliance — an IA without retroactive AI disclosure documentation is carrying live regulatory exposure.
