Terms of Service
These terms govern your access to and use of Zytra Technologies' platform and services.
1. Acceptance of Terms
By accessing or using the Zytra platform, website (zytratechnologies.com), or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation and these Terms apply to it. If you do not agree to these Terms, do not use the Services.
2. Description of Services
Zytra provides enterprise AI governance, safety, and compliance software for banking and financial services. The platform includes AI risk assessment, runtime guardrails (Aval), governance workflow automation, audit-trail evidence generation, and associated tools. Features and capabilities may change from time to time.
3. Account Registration and Security
Access to certain Services requires an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Notify us promptly of any unauthorised access to your account
- Accept responsibility for all activity conducted under your account
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Attempt to gain unauthorised access to the Services or related systems
- Transmit malware, viruses, or other harmful code
- Reverse-engineer, decompile, or disassemble any portion of the platform
- Use the Services to benchmark, train, or develop competing products without prior written consent
- Misrepresent your identity or organisational affiliation
5. Intellectual Property
All content, software, trademarks, and other intellectual property in the Services are owned by Zytra Tech Solutions or its licensors. These Terms do not grant you any licence to Zytra's intellectual property beyond the limited right to use the Services as described. You retain ownership of any data, models, or content you upload to the platform ("Customer Data").
6. Customer Data
You grant Zytra a limited licence to process Customer Data solely to provide the Services. Zytra will not access Customer Data for any other purpose. Our handling of personal data within Customer Data is described in our Privacy Policy. For enterprise customers, data processing is further governed by the applicable Data Processing Agreement.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and to use such information only for the purpose of fulfilling obligations under these Terms. This obligation does not apply to information that is or becomes publicly known through no breach of this clause, or that is required to be disclosed by law or regulation.
8. Fees and Payment
Zytra's pricing is provided on request. Applicable fees, payment terms, and refund policies are set out in the separate Order Form or Master Subscription Agreement executed between Zytra and the customer. In the absence of a separate agreement, fees are invoiced annually in advance and are non-refundable except as required by applicable law.
9. Warranties and Disclaimers
Zytra warrants that it will provide the Services with reasonable care and skill. The Services are provided "as is" and "as available" to the maximum extent permitted by applicable law. Zytra does not warrant that the Services will be uninterrupted, error-free, or free from vulnerabilities. No content on this website or within the platform constitutes legal, regulatory, financial, or compliance advice.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Zytra's total liability arising out of or in connection with these Terms or the Services shall not exceed the greater of (a) the amounts paid by you to Zytra in the twelve months preceding the claim, or (b) INR 10,000. Zytra shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or profit.
11. Indemnification
You agree to indemnify and hold Zytra, its officers, directors, employees, and partners harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party rights.
12. Termination
Either party may terminate access to the Services by giving written notice. Zytra may suspend or terminate access immediately if you materially breach these Terms. On termination, your right to access the Services ceases. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
13. Modifications to Terms
Zytra may update these Terms from time to time. We will provide reasonable notice of material changes by email or by posting a notice on the website. Continued use of the Services after the effective date of updated Terms constitutes acceptance of those Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. For enterprise customers, any arbitration provisions set out in the applicable Master Subscription Agreement take precedence.
